Purpose Statement

Corporate Legal provides wide ranging corporate legal advice as appropriate to the Company. Key areas include Employment Laws including industrial relations; Finance including treasury, tax and audit; Intellectual Property rights including trademarks and designs; Operations, Supply Chain and Marketing. Corporate Legal also frequently liaises with Company Secretarial on corporate matters.

Corporate Counsel is to provide advice to, and serve as a focal point of contact for, the assigned Functions (Business Partnering); in order to ensure effective protection and promotion of the Company’s legal position and commercial interests in the assigned business areas.

 

Principal Accountabilities

1. Operational | Professional | Business

Protect the business from legal and commercial risks by providing business-orientated legal services, including the drafting of contracts, for Business Partners, by paying due regard to quality, timeliness and commercial considerations.

Assist in structuring transactions through sound and effective analyses to minimise costs to the business, as well as proactively mitigating risks so that the Company’s business goals are achieved, and productivity is maximised.

 

2. Management

Effectively and optimally mobilise resources to provide services to Business Partners, keeping in mind the key priorities and objectives of the Business Partners.

Review and monitor work processes and performance in order to ensure that services delivered to Business Partners are of a high quality and are completed according to set milestones.

Manage the services provided by external counsel as well as their fees in order to ensure optimal benefit is delivered to the business.

 

3. Leadership

Work with Business Partners by clearly articulating legal requirements in order to deliver business needs in a most efficient and effective manner.

Set challenging targets for self and continually strive to meet these targets in order to strike a personal example of excellence.

Highlight to the Company the relevance and commercial necessity of the role of Corporate Counsel and its contribution to the success of the business.

Proactively identify problem and risk areas for the Business Partners, together with presenting viable solutions through active teamwork.

 

4. Relationship

Forge strong working relationships with Business Partners in order to fully understand their needs and share key information with them.

Develop an effective peer working relationship within LEX so that it can function more efficiently and effectively and contributes meaningfully to the overall success of the Company.

Form strong networks within the organisation as well as with outside stakeholders including government authorities and regulators, in order to ensure their timely support and assistance for the furtherance of Company’s interests.

 

5. Innovation

Conduct a continuous process of review and research of the work processes and methods of the Company in order to find ways and means of improvement, as well as proactively finding tools to educate the organisation on legal risks.

Focus on opportunities for improvement and seek to implement those in order to enhance the productivity of the Company and to reduce work complexity.

 

Knowledge, Skills & Experience:

  • Minimum a post-graduate in law, but preferably with appropriate professional qualifications
  • 5 years of legal experience working in FMCG or multinational company dealing with Corporate Law matters including Industrial relations, Finance including Treasury, Tax and Audit and Intellectual Property
  • Strong Legal and business judgement, drafting, negotiation, analytical and leadership skills
  • Effective management and interpersonal skills
  • A good understanding of corporate laws and regulation 
  • Ability to work independently while being able to contribute to cross functional team
