JOB TITLE: Assistant Company Secretary

FUNCTION: Legal

LOCATION: Colombo, Sri Lanka

WHAT YOU WILL BE ACCOUNTABLE FOR

Company Secretarial

  • Organizing and ensuring that arrangements are in place for the smooth conduct of meetings of the Board of Directors, Annual General Meetings and Extraordinary General Meetings of the Company.
  • Preparation of Minutes, resolutions, and relevant documents for meetings of the Board of Directors, Annual General Meetings and Extraordinary General Meetings of the Company.
  • Managing shareholder queries, handling unclaimed dividend payment transfers to shareholders.
  • Ensuring compliance with the listing rules, Companies Act and other rules on corporate governance as applicable to CTC.
  • Liaising with regulators such as the Registrar of Companies and the Colombo Stock Exchange, preparation and submission of returns to the Registrar of Companies
  • Participation in the preparation and publication of Annual Reports
  • Attending to sealing of documents pertaining to CTC and subsidiary companies and maintain relevant Seals Registers
  • Acting as custodian of the Company’s statutory books and records and ensuring that all necessary formalities for execution of documents by the Company are accurately followed.

Standard of Business Conduct

  • Driving employee awareness of SoBC, promoting ethical behaviour
  • Ensuring that new joiners complete their online SOBC training and providing an additional offline SoBC training for new joiners as needed.
  • Annual training for all employees on SoBC and other Policies under Legal and CORA
  • Ensuring compliance with local laws and regulations and BAT policies and procedures including Third Party Anti-Financial Crimes Procedure, Gifts and Entertainment, Data Privacy and Records Management and management of Speak-Up portal

ESSENTIAL EXPERIENCE, SKILLS AND KNOWLEDGE

  • Attorney-at-law and / or member of Institute Chartered Corporate Secretaries or equivalent qualification.
  • Bachelor of Law (LLB) or Master of Laws (LLM)
  • 2 to 3 years of experience in legal/compliance (law firm, FMCG or multi-national company)
  • Agile and quick learner
  • Good analytical skills
  • Excellent leadership capabilities
  • Ability to work well independently and in a team setting.
